INDEPENDENT CONTRACTOR AGREEMENT

This Agreement is made and entered into as of August 18, 2024 by and between Orange Motel, a Florida corporation (1st Jamerican Inc.), and Ray Conrad, an individual (the "Contractor").


I. Project: Bathroom Renovation in Room 6

Deadline: Friday, August 23, 2024 12:00 PM EDT



II. Services to Be Performed:


Task Breakdown:

 * Clear Room 6: Move all materials to the maintenance room.

 * Clean Room 6: Prepare the room for renovation.

 * Tile Bathroom: Install tiles on bathroom surfaces.

 * Seal Room 6: Seal doors and windows to contain dust and debris.


Action Plan:

 * Room Cleaning: Thoroughly clean Room 6 to prepare for renovation.

 * Tile Installation: Continue and complete tile installation on bathroom surfaces.

 * Sealing: Seal doors and windows to prevent dust and debris from spreading.

Timeline:

 * Sunday, August 18: Begin moving materials to the maintenance room.

 * Monday, August 19: Complete room clearing and cleaning.

 * Tuesday, August 20: Commence tile installation.

 * Wednesday, August 21: Finalize tile installation and seal room.


III. Contractor Responsibilities: Contractor shall be responsible for all costs and expenses incurred in connection with the performance of this Agreement, including but not limited to: automobile, truck, and other travel expenses; vehicle maintenance and repair costs; vehicle and other license fees and permits; insurance premiums; road, fuel, and other taxes; fines; radio, pager, or cell phone expenses; meals; and all salary, expenses, and other compensation paid to employees or contract personnel hired by Contractor to complete the work under this Agreement.


IV. Material Purchases: Contractor may purchase materials necessary for the completion of the project. All material purchases must be pre-approved by the business. Title to all materials purchased for the project shall vest in the business upon delivery to the project site. The Contractor shall be responsible for the proper disposal of any unused materials.


V. Payment Terms: The Contractor will be paid [hourly rate/flat fee] for services rendered. Progress payments may be made [frequency, e.g., weekly, bi-weekly] based on project completion milestones. Final payment will be made upon satisfactory completion of the project. Contractor shall provide the Business with original receipts for all materials purchased. These receipts will be credited towards the Contractor's rent obligation as agreed upon by both parties. The business reserves the right to audit the receipts submitted by the Independent Contractor. The Contractor shall be responsible for any damage to materials occurring prior to installation.


VI. Termination Clause: If the Contractor fails to substantially complete the Project in accordance with the terms of this Agreement by the agreed-upon deadline of Friday, August 23, 2024, the Business may, at its sole discretion, terminate this Agreement with immediate effect by providing written notice to the Contractor. Upon such termination, the Contractor shall immediately vacate the premises and return all keys and access devices to the Business. The Contractor shall be liable for all costs and damages incurred by the Business as a result of the Contractor's default.


Note: Further projects will require a signed contract.


By signing this agreement indemnify and hold the business harmless from any claims, damages, or liabilities arising from injuries sustained by the contractor, their employees, or third parties during the project.
